Peggy joined the firm in 2006 and is a member of the Tax, Corporate & Finance, Securities, and Real Estate practice groups. Prior to joining the firm, Peggy spent three years at a law firm in Akron, Ohio, where she worked in the Taxation & Employee Benefits, Finance & Public Law, and Taxation & Employee practice groups. Prior to that, Peggy worked three years for an international law firm in Cleveland, Ohio. Peggy advises business enterprises, public sector clients, and nonprofit entities in a variety of matters in federal and Ohio taxation, public law, public finance, general business matters, and economic development initiatives.
Peggy has experience in a wide range of matters in the corporate, tax-exempt, partnership, public finance, state & local, international, and individual areas of taxation, including:
- Formation, operation, and dissolution of for-profit and nonprofit corporations, limited liability companies, and limited partnerships
- IRS exam, appeals, and collection matters
- IRS private letter ruling requests
- Tax issues related to business sales, taxable and tax-free acquisitions, mergers, and reorganizations
- Structuring contributions of qualified conservation easements
- Establishment of tax-exempt, nonprofit organization to act as a regional council of governments
Peggy has experience in a wide range of matters in the public law area. Peggy has experience in public finance, including tax and securities law analysis. She has experience acting as bond counsel, underwriter counsel, issuer counsel, and borrower counsel for general and special obligation bonds. Peggy formerly served as the Village Solicitor for the Village of Hartville, Ohio. She has advised governmental entities regarding a variety of public law matters including:
- Compliance with laws such as Ohio’s Sunshine Law, Open Records laws, ethics laws, annexation, and city charters
- Drafting legislation and contracts for political subdivisions
- Establishment of tax increment financing programs for political subdivisions
- Economic development initiatives including tax increment financing, JEDDs, CEDAs, and tax incentives
