Real Estate
Anne serves as head of the firm's real estate practice.  Anne has a broad scope of experience in real estate transactions.  Anne's real estate practice centers around property acquisition, land assemblage, development, construction, financing and divestiture. Anne is well versed in the drafting and negotiation of purchase agreements, leases, easements, environmental indemnities and other related agreements, and has significant experience with all types of real estate due diligence, including surveys, title policies, environmental site and wetland assessments, appraisals and other types of site analysis. Anne has also served as counsel to owners, borrowers, lenders and developers in a variety of construction and development projects.  Anne's experience with real estate finance includes drafting and negotiating mortgage and construction loan documents, environmental indemnities, and analyzing survey and title matters and other due diligence relating to commercial real estate financing transactions of all types.

Public Finance
Anne also serves as head of the firm's public finance practice and advises a variety of types of clients in the area of public finance and project finance, including states, counties and municipalities, port authorities, higher education institutions, non-profit organizations and other types of public issuers, as well as underwriters, lenders, letter of credit and liquidity providers, and borrowers. Anne has significant experience in a variety of government assisted, government incentive, subsidized and conduit financings, with a particular emphasis in public/private sector partnerships involving various types of development projects. Anne's representative experience includes taxable and tax-exempt bond financings for non-profit corporations, private corporations and governmental entities, general obligation note and bond offerings and complex multilayered development projects. Anne routinely represents educational institutions, healthcare providers, and a variety of non-profit and private companies in a wide assortment of public finance transactions.

Banking and Commercial Finance
Anne served as chair of the banking and finance section of another major law firm for many years and continues to focus her commercial finance and capital markets practice on commercial transactions involving investors, financial institutions and corporate borrowers, in a wide variety of secured and unsecured complex debt financing transactions, including asset-based loans, structured and mezzanine finance, mortgage and construction loans as well as complex syndications and multi­bank credit facilities.  Anne, a former banker, regularly serves as counsel in capital markets transactions for borrowers, lenders and underwriters involving industrial development revenue bonds, letters of credit, ESOP financings, privately placed taxable note transactions, fixed income instruments, SWAP and derivative transactions, mezzanine and other investment capital transactions. She regularly negotiates the terms of complex commercial finance documents, involving the acquisition and financing of real estate and construction projects, mergers and acquisition financing and leveraged buyouts.  In addition, Anne is experienced in representing both lenders and borrowers in restructurings, reorganizations and workouts. Prior to entering the practice of law, Anne was an officer of a major financial institution and has held an NASD Series 7 license for a major capital markets group, specializing in fixed income securities.

General Corporate

Anne regularly advises business owners in a wide variety of matters. Anne serves as outside general counsel to several privately held companies and is well versed in matters of corporate governance, corporate acquisitions and divestitures, buy-sell agreements and similar types of agreements.

Anne’s representative transactions include:
  • Represented a non-profit organization in the assemblage and development of a 100-acre site for its international headquarters, including complex negotiations with adjacent property owners, wetlands impact issues and tax exemption status.
  • Served as bond counsel to a local medical school in connection with the financing of the relocation of its main campus.
  • Served as bond counsel and college counsel to several higher education institutions in connection with bond offerings, including negotiation, pricing and structuring of credit enhancement and liquidity facilities.
  • Served as bond counsel on a multi-series bond issue for financing the development and relocation of a local headquarters/office building and domiciliary for a federal agency.
  • Served as counsel to all types of borrowers in complex debt financings, including intercreditor negotiations, recapitalizations, and loan workouts.
  • Served as counsel to a variety of financial institutions on virtually all types of secured transactions, including syndicated transactions, real estate loans, floor plan financing (automotive and watercraft), asset-based lending, structured finance, mezzanine finance and middle market working capital loans.
